Terms of Use

Last updated: 2 October 2026

1. About These Terms

These Terms of Use govern your use of the Rise Capital website at risecapitalfund.uk (“Website”).

The Website is operated by Rise Capital Asset Management Ltd, a company registered in England and Wales under company number 17133728, with its registered office at 20 Wenlock Road, London, England, N1 7GU (“Rise”, “we”, “us” or “our”).

Please read these terms before using the Website. By using the Website, you agree to these terms. If you do not agree, please stop using the Website.

These terms relate to Website use only. They do not constitute the terms of an investment in Rise Capital AM Hybrid Fund SCSp or any other investment arrangement.

2. Purpose of the Website

The Website provides information about Rise, its investment approach, the proposed Fund, governance, institutional infrastructure and related activities.

Information may describe arrangements that are proposed, under development or subject to final documentation. References to service providers, launch milestones or intended arrangements should be read in the context of the status described on the relevant page.

Website content may change as the Fund and its supporting arrangements develop.

3. Investment Information and Advice

Website content is provided for general information. It does not constitute personalised investment, financial, legal, tax or other professional advice, or a recommendation that any investment is suitable for you.

The Website does not provide a means of subscribing for Fund interests. Viewing the Website, submitting an enquiry or receiving information does not constitute an application, commitment or agreement to invest.

Any investment may be made only through the applicable formal process, following receipt and consideration of the relevant offering, constitutional and subscription documents and satisfaction of the required eligibility and onboarding requirements.

You should obtain independent professional advice appropriate to your circumstances before making an investment decision.

4. Investor Eligibility and Geographic Restrictions

Access to investment documentation and participation in the Fund are subject to applicable investor eligibility requirements, distribution restrictions, regulatory requirements and the Fund documents.

The Fund is intended for eligible well-informed investors, including institutional and professional investors and other investors who satisfy the applicable requirements.

Availability of the Website does not mean that an investment may lawfully be offered or acquired in every jurisdiction. We may restrict access to information or decline an enquiry where required by applicable law or distribution arrangements.

You must not use the Website or its content in a way that breaches laws applicable to you.

5. Investment Risks, Targets and Illustrations

Investments involve risk. Capital is at risk, and investors may lose some or all of their investment.

Any target returns, distribution objectives, forecasts, projections, examples or illustrative project economics are not guarantees. They depend on assumptions and circumstances that may change, and actual outcomes may differ materially.

An illustrative project does not necessarily represent the performance of the Fund as a whole. Past performance, where presented, is not a reliable indicator of future results.

Development investments may be affected by planning, construction, delivery, financing, market conditions, counterparty performance and the timing of realisations.

The amount and timing of distributions depend on available proceeds, applicable obligations and the Fund terms.

6. Tokenisation and Transfers

References to tokenisation or digital LP infrastructure describe technology intended to support the recording, administration and permitted transfer of Fund interests.

Tokenisation does not itself provide a right to redeem an investment, remove transfer restrictions or guarantee liquidity.

Any transfer remains subject to the Fund documents, investor eligibility, applicable law, KYC/AML procedures and any required approvals.

There is no guarantee that an eligible buyer, an active secondary market or a particular sale price will be available.

7. Fund Documents

Website summaries are not a substitute for the Fund’s formal documentation.

The rights and obligations relating to an investment will be governed by the applicable constitutional, offering, subscription and other contractual documents.

If a Website summary differs from those documents, the relevant formal documents govern the investment. This does not exclude responsibility for Website statements where exclusion would be unlawful.

8. Accuracy and Availability

We take reasonable care when preparing Website content. However, information may become outdated, contain errors or change before a transaction or investment is completed.

Unless expressly stated otherwise, content reflects the information available when it was prepared.

We do not guarantee that the Website will always be available, uninterrupted or free from technical faults. We may update, suspend or withdraw all or part of the Website for operational, security, legal or other reasonable purposes.

9. Permitted Use

You may view, download and print Website content for your own lawful information and evaluation purposes, provided that you retain relevant copyright notices, qualifications and risk warnings.

You must not:

  • Use the Website for fraudulent, unlawful or misleading purposes.

  • Introduce malicious software or interfere with the Website’s operation.

  • Attempt to gain unauthorised access to the Website, its systems or connected services.

  • Impersonate another person or submit information you know to be false.

  • Reproduce or distribute content in a way that removes material qualifications or creates a misleading impression.

  • Republish, commercially exploit or use our branding without permission, except where permitted by law.

10. Intellectual Property

Website content, including text, designs, graphics and branding, is owned by or licensed to Rise or the relevant rights holder.

Except for the permitted use described above, these terms do not grant you ownership of, or a licence to exploit, any intellectual property.

Third-party names, logos and trademarks remain the property of their respective owners. Their inclusion does not imply an endorsement beyond the relationship expressly described on the Website.

11. Third-Party Links

The Website may contain links to third-party websites or services.

Those websites operate under their own terms and privacy policies. We do not control their content or operation, and a link does not by itself constitute an endorsement.

12. Enquiries and Information You Submit

When submitting an enquiry, please provide accurate information and only personal information you are entitled to share.

Please do not submit passwords, payment details, identity documents or other sensitive material through a general enquiry form unless we expressly request it through an appropriate secure process.

Submitting an enquiry does not create an advisory relationship, reserve an allocation or oblige either party to proceed with an investment.

Personal information is handled as explained in our Privacy Policy.

13. Privacy and Cookies

Our Privacy Policy explains how we collect, use and protect personal information.

Our Cookie Policy explains how cookies and similar technologies are used and how you can manage your preferences.

14. Liability

Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be excluded or limited.

Subject to that provision, and to the extent permitted by law, we are not liable for indirect or consequential losses arising from your use of, or inability to use, the Website.

Where you use the Website for business purposes, this includes loss of profits, business opportunities or anticipated savings, to the extent that such exclusion is lawful.

Nothing in these terms removes any mandatory legal rights or regulatory protections that apply to you, or limits obligations arising under separate investment documents.

15. Changes to These Terms

We may update these terms to reflect changes to the Website, our activities or applicable requirements.

The latest version will be published on this page with an updated date. Changes apply to Website use after publication and do not retrospectively alter rights or obligations under an existing investment agreement.

16. Governing Law

These terms and disputes relating to Website use are governed by the laws of England and Wales, subject to any mandatory laws and rights that apply to you.

The courts of England and Wales have non-exclusive jurisdiction over such disputes. This does not prevent you from using another court where applicable law gives you that right.

This clause does not determine the governing law or jurisdiction of the Fund or any investment agreement, which will be specified in the relevant documents.
